Terms & Conditions Agreement for The Dream School Mentoring Program
Relationship. Kimberly Irene Woods DBA Oh freebird fly LLC agrees to deliver the Client services as a work-for-hire independent contractor, providing mentoring services through Oh freebird Fly LLC. Nothing herein shall be deemed to constitute a partnership or joint venture between Kimberly Irene Woods, Oh Freebird Fly LLC and Client. Further, these Mentoring services do not create a relationship beyond the confines of The Dream School mentoring program
Confidentiality and Non-Disclosure. The Course Client understands that all materials, including but not limited to, price lists, contracts, financial documents, agreements, pdfs, emails, content, and other information or documents that are given to them in the course of The Dream School mentoring program are the exclusive property of Kimberly Irene Woods and Oh Freebird Fly, LLC and are privileged and confidential information. The Client shall not disclose, whether or not, the confidential information was obtained from The Dream School mentoring program to anyone unless required to do so by law.
Transfers/Refunds. The Dream School mentoring program fee is non-refundable and MAY NOT be transferred to another Client.
Group coaching schedule. The teaching sessions & mentoring call schedule is subject to change and no adjustment/proration of fees shall be applied if the schedule changes.
Client Preparation. All The Dream School mentoring program material will be made available through an online platform. Group mentoring calls will be held via a video conference platform. The Client must be able to access these resources online. The Client is required to have basic knowledge of email, and how to access these resources online.
Recordings. The Client shall not share any recorded teachings or mentoring sessions. All teaching and mentoring session recordings will be available on the online course platform within 48 hours of the completed sessions.
Video Release. You give Kimberly Irene Woods and Oh freebird fly LLC all rights to, own, use, edit, exhibit and distribute any video taken of you through The Dream School mentoring program and testimony videos for any lawful purpose.
Cooperative Attitude. The Client shall retain a cooperative attitude throughout The Dream School mentoring program . At any time the Client acts uncooperative Kimberly Irene Woods & Oh Freebird Fly LLC shall terminate the client’s access from participating in The Dream School mentoring program and retain all mentoring program fees. Cooperation includes, but is not limited to, online and in-person decorum whether directed at Kimberly Irene Woods, Oh Freebird Fly LLC, Oh Freebird Fly Coaches and Mentors, other participants, or a third party in reference to The Dream School mentoring program
Intellectual Property. All information provided in the course of The Dream School mentoring program is copyright of Kimberly Irene Woods & Oh Freebird Fly LLC, including but not limited to all recorded sessions, program framework, graphics, workbooks, templates, PDF’s, and any other content shared is intellectual property and copyright of Kimberly Irene Woods and Oh freebird fly LLC and shall not be shared, recorded, duplicated or sold and is only for your personal use.
Waivers. A waiver by either party of any provision of this Agreement in any instance shall not be deemed a continuing waiver for the future.
Indemnification. The Client takes full responsibility for the decisions they make during and after participating in The Dream School mentoring program as well as the consequences. The Client enters into The Dream School mentoring program with full understanding that they are responsible for their own results. The Client agrees that using any of Kimberly Irene Woods & Oh Freebird Fly’s The Dream School mentoring program are entirely at their risk. Kimberly Irene Woods, Oh Freebird Fly LLC, Coaches and Mentors shall be held harmless for any and all injury to Client and Client’s business and equipment during the course of The Dream School mentoring program and the immediately surrounding events.
Governing Law and Choice of Venue. This Agreement shall be governed by the laws of the State of Florida without regard to its conflicts of law provisions. The parties may bring an action concerning this Agreement only in the state and federal courts for Florida.
Attorney Fees. If either party to this Agreement brings a legal action against the other party to this Agreement to secure the specific performance of this Agreement, collect damages for breach of this Agreement, or otherwise enforce or interpret this Agreement, the prevailing party shall recover reasonable attorney’s fees and all costs, premiums for bonds, fees, and other expenses expended or incurred in the action in addition to any other relief that may be awarded.
Resolution. Client shall first approach Kimberly Irene Woods & Oh Freebird Fly LLC as to any issues related to The Dream School mentoring program . Failure to do so will result in termination of The Dream School mentoring program access and forfeiture of all mentoring program fees.
Entire Agreement. This Agreement contains the entire agreement between the parties on its subject matter and supersedes any prior understanding or representation of any kind preceding the date herein.
Agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.
